By downloading, installing, or using the OyaPOS mobile application ("App") and related services ("Service"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, do not use our Service.

These Terms constitute a legally binding agreement between you ("User," "you," or "your") and OyaPOS ("we," "us," or "our").

2. Description of Service

OyaPOS is a comprehensive Point of Sale (POS) system designed for small and medium businesses. Our Service includes:

  • Inventory management and tracking
  • Sales processing and transaction management
  • Barcode scanning for product identification
  • Customer relationship management
  • Employee management and access controls
  • Receipt generation and sharing via WhatsApp
  • Business analytics and reporting
  • Multi-currency support (USD/LRD)
  • Cloud-based data storage and synchronization

3. User Accounts and Registration

3.1 Account Creation

To use our Service, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials.

3.2 Account Responsibility

You are solely responsible for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account.

3.3 Business Information

You represent that you have the authority to bind your business to these Terms and that all business information provided is accurate and current.

4. Subscription and Payment Terms

4.1 Free Trial

We offer a 7-day free trial for new users. After the trial period, continued use requires a paid subscription.

4.2 Subscription Plans

Various subscription plans are available with different features and pricing. Current pricing and features are displayed in the App and on our website.

4.3 Payment Processing

  • Payments are processed through secure third-party payment processors
  • Subscriptions are billed in advance on a recurring basis
  • All fees are non-refundable except as required by law
  • We reserve the right to change pricing with 30 days' notice

4.4 Late Payment and Suspension

If payment is not received when due, we may suspend or terminate your access to the Service after providing reasonable notice.

5. Acceptable Use Policy

5.1 Permitted Uses

You may use our Service only for lawful business purposes in accordance with these Terms.

5.2 Prohibited Activities

You agree not to:

  • Use the Service for any illegal or unauthorized purpose

We maintain regular backups of your data, but you are encouraged to maintain your own backups as well.

OyaPOS and all related intellectual property rights are owned by us. This includes:

  • Software code and algorithms
  • User interface and design elements
  • Trademarks, logos, and branding
  • Documentation and help materials

7.2 License Grant

We grant you a limited, non-exclusive, non-transferable license to use our Service in accordance with these Terms.

7.3 Feedback

Any feedback, suggestions, or ideas you provide to us may be used by us without compensation or attribution.

8. Third-Party Services

8.1 Integration Services

Our Service may integrate with third-party services including:

  • WhatsApp for receipt sharing
  • Payment processors for transaction handling
  • Cloud storage providers for data backup
  • Analytics services for app improvement

8.2 Third-Party Terms

Your use of third-party services is subject to their respective terms and conditions. We are not responsible for third-party service availability or performance.

9. Service Availability and Support

9.1 Service Uptime

We strive to maintain high service availability but do not guarantee uninterrupted service. Planned maintenance will be announced in advance when possible.

9.2 Customer Support

We provide customer support through various channels including email and in-app messaging. Support response times may vary based on your subscription plan.

9.3 Service Updates

We may update the Service periodically to add features, fix bugs, or improve performance. Critical updates may be applied automatically.

10. Privacy and Data Protection

Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

By using our Service, you consent to our Privacy Policy and our processing of your data as described therein.

11. Limitation of Liability

11.1 Service Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11.2 Liability Limits

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIMS RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM.

11.3 Excluded Damages

WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS INTERRUPTION.

12. Indemnification

You agree to indemnify, defend, and hold harmless OyaPOS and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Any data or content you submit through the Service

13. Termination

13.1 Termination by You

You may terminate your account at any time by contacting our support team or using the account closure feature in the App.

13.2 Termination by Us

We may terminate or suspend your access to the Service immediately if:

  • You violate these Terms
  • Your account becomes delinquent
  • We discontinue the Service
  • Required by law or regulatory action

13.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. We will provide reasonable opportunity to export your data, subject to our data retention policies.

14. Dispute Resolution

14.1 Governing Law

16. Modifications to Terms

We may modify these Terms from time to time. We will notify users of material changes through the App or by email. Your continued use of the Service after such modifications constitutes acceptance of the updated Terms.

17. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and OyaPOS regarding the Service and supersede all prior agreements and understandings.
